Job Description

· Drafting, reviewing and analyzing corporate commercial contracts, including but not limited to service agreements, joint operating agreements, participating agreements and other agreements necessary to conduct operations

· Advising and participating in the review of legal corporate commercial matters including contract disputes, operating agreements, corporate reorganizations, acquisitions and divestitures including due diligence

· High level of technical knowledge with regards to Vietnamese corporate and contract law but with recent relevant experience in:

o Mergers and Acquisitions

o Distribution, licensing and shareholder agreements

o Corporate governance

o Commercial arrangements

· Implementing tax reorganizations and corporate transactions

· Assisting starts ups in navigating Vietnamese legal regime with expansions into Vietnam

· Collaborating with various company's practices including our People Advisory Services practice and our Global Network for corporate law related work

· Ability to build strong relationships with significant experience of working with clients across a wide spectrum of size and activities

· Must be able to deliver robust and appropriate legal advice and exercise sound judgement when consulting on difficult issues

· Able to demonstrate sound relationship and business development skills, and a keenness to develop these skills further as you will be expected to take responsibility for servicing and building part of the existing business of the team

Job Requirement

· Graduate/Post Graduate in Law from leading Vietnamese/Foreign Law University or College (LLB/LLM; BL/ML/Juris Doctor).

· At least 2-5 years of relevant experience (such as junior lawyer in private practice in reputable internationally orientated law firm, LPO, junior legal associate/counsel in multinational company).

· Strong project management skills - ability to multi-task across a variety of projects and activities;

· Strong communication skills, both written and verbal - ability to summarize, edit, and harmonize large volume of data;

· Proactive and motivated across all aspects of teaming and execution of work;

· Willingness to stretch and work under pressure, as and when required to do so;
